Wadi Platform Terms
For UK business users
These Terms apply when you use the Wadi business platform (the Platform). By using the Platform, you agree to them. If you do not agree, please do not use Wadi.
Wadi Hub Ltd is referred to as Wadi, we or us. These Terms apply only to the Platform, not the public website at www.wadihub.com.
1. Who can use Wadi
Wadi is designed for businesses operating in the United Kingdom. You must use it on behalf of a business, not for personal or consumer purposes, and you must have authority to act for that business.
Access is provided through one of Wadi's corporate partners. That partner does not control Wadi's guidance and is not responsible for the Platform merely because it provided access.
2. Accounts and access
The Platform is free to use without registering. An optional account saves your business profile, results and activity and provides quarterly updates. If you create an account during a sponsored journey, Wadi may share your contact details, business profile and relevant results with the named sponsor, as explained before registration.
If you register, you must give accurate information, keep it up to date and protect your login details. You are responsible for activity carried out through your account unless it results from Wadi's failure to protect the Platform.
You must tell us promptly at support@wadihub.com if you believe your account has been accessed without permission.
3. What Wadi provides
Wadi provides general business guidance and tools, which may include:
- Ask Wadi: AI generated suggestions based on the information you provide and general industry information.
- Checks and tools: automated comparisons, including industry benchmarks and, where relevant, information about named competitors.
- Resources: templates and other practical materials for use within your business.
- Supplier introductions: the option to ask for contact from an independent supplier.
We may improve, replace, add or remove features. We do not promise that every feature will always be available.
4. Understanding Wadi's guidance
Wadi provides light touch, general business guidance. It is not professional legal, financial, tax, technical or other regulated advice.
AI generated content and benchmark data can be incomplete, generalised or inaccurate. Results also depend on the information you provide, so you must make sure that information is accurate and current.
Use your own judgement before acting. For a material business, financial, legal, technical or operational decision, check the position with an appropriately qualified professional. You remain responsible for the decisions you make and the projects you undertake.
Wadi does not promise a particular saving, improvement, environmental benefit or other outcome.
Do not include special category data, confidential information about another person, payment card details, passwords or information you are not entitled to share in Ask Wadi or any Platform tool.
5. Supplier introductions
Wadi may also show you independent suppliers relevant to the guidance you receive. You decide whether to request an introduction and whether to use a supplier. We may receive a referral fee or other payment from a supplier or corporate partner.
A supplier is not Wadi's employee, agent or representative. Any contract is between you and the supplier. You are responsible for checking the supplier, its proposal, price and suitability. Wadi is not responsible for a supplier's advice, goods, services, conduct or performance.
6. Using Wadi responsibly
You may use Wadi only for genuine, lawful business purposes. You must not:
- share your account, misrepresent your identity or impersonate another person or business;
- use Wadi to create or distribute unlawful, harmful, discriminatory or offensive content;
- harass Wadi staff, suppliers or other users;
- interfere with the Platform, introduce harmful code or try to access systems or accounts without permission;
- scrape, reverse engineer or use automated methods to access the Platform without our written permission;
- copy, sell, publish or share Wadi's tools or resources except for ordinary internal use by your business; or
- use a supplier introduction for a false, misleading or unrelated enquiry.
7. Information and intellectual property
You retain any rights you have in information you provide. You give Wadi permission to use it as reasonably necessary to operate, secure and improve the Platform, provide its features, meet our legal obligations and produce aggregated or anonymised insights. We handle personal data as explained in the Platform Privacy Notice.
Wadi and its licensors own the Platform, its software, branding, designs, tools and resources. Subject to these Terms, we give your business a limited, non-exclusive, non-transferable right to use them for its own internal business purposes.
You may use guidance and results produced for you within your business. You must not resell them, present them as a Wadi product of your own, use them to build a competing service or remove Wadi's ownership notices.
8. Availability and security
We work to keep Wadi available and secure, but the Platform is provided on an 'as available' basis. We do not guarantee uninterrupted or error-free access. We may pause access for maintenance, security, legal or operational reasons.
Where permitted by law, we exclude warranties and terms that would otherwise be implied into these Terms.
9. Our liability
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to that, Wadi will not be liable for:
- indirect or consequential loss;
- loss of profit, revenue, business, contracts, anticipated savings, goodwill or business opportunity;
- loss or corruption of data, except for the reasonable cost of restoring data from your own available backup; or
- loss arising from inaccurate information you provide, your reliance on general guidance without appropriate checks, or the acts or omissions of an independent supplier.
Wadi's total liability to you arising from or connected with the Platform or these Terms will not exceed GBP 1000. This cap does not apply to any liability that cannot legally be limited.
10. Suspending or ending access
You may stop using Wadi at any time and may ask us to delete your registered profile.
We may suspend or end your access if we reasonably believe you have breached these Terms, created a security or legal risk, misused the Platform or if access through the relevant corporate partner ends. Where reasonable, we will explain why.
Rights and obligations that are intended to continue, including intellectual property, liability and governing law, continue after access ends.
11. Changes to these Terms
We may update these Terms when the Platform, our business or the law changes. We will post the updated version on the Platform and update the date above. For a material change, we will give reasonable notice where practicable. If you continue to use Wadi after the change takes effect, the updated Terms will apply.
12. General legal terms
If an event outside our reasonable control delays or prevents us from providing Wadi, we will not be responsible for that delay or failure.
If part of these Terms is found to be invalid or unenforceable, the rest will continue to apply. A delay in enforcing a right does not mean it has been waived.
You may not transfer your rights under these Terms without our written agreement. We may transfer our rights and obligations as part of a sale, reorganisation or transfer of the Platform, provided this does not reduce your rights.
No person other than you and Wadi has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
These Terms and any non-contractual dispute connected with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.

Platform Privacy Notice
How Wadi uses personal data on the Platform
1. About this notice
Wadi Hub Ltd is the controller responsible for personal data collected through the Platform. This notice does not cover the separate website at www.wadihub.com.
The Platform is for business users and is not intended for children.
2. Information we collect
- Account and contact information, such as your name, business name, email address and telephone number, if you register or request contact.
- Business information you enter, such as industry, location, employee numbers, energy supplier, tariff, contract dates, meter information and spend.
- Your Ask Wadi conversations, saved results and use of Platform features.
- Technical information, such as IP address, browser, device, session information and how you reached the Platform.
- Your choices about updates, cookies, information sharing and supplier introductions.
We may also create aggregated or anonymised information that no longer identifies you.
3. How and why we use it
We use your information to provide Wadi (run accounts, remember profiles, generate guidance and provide requested features) under contract; to operate and improve the service (security, troubleshooting, analytics and aggregated reporting) under our legitimate interests; to share a registered user's details with a named journey sponsor where you consent at registration; to respond to customer enquiries you ask us to pass on; to send optional updates you request; and to meet legal duties and manage a sale or reorganisation.
Our legitimate interests are operating a useful and secure business platform, understanding how it is used, improving it and protecting Wadi's legal and commercial interests. Where we rely on legitimate interests, we consider and balance the potential impact on your rights and freedoms.
4. Sponsored accounts, supplier introductions and marketing
If you create an account during a sponsored journey, Wadi may share the information described at registration with the named sponsor. We do not share identifiable information with the sponsor if you use Wadi without registering, unless you request contact. Sponsors may also receive aggregated reporting that does not identify you.
Where you specifically ask to speak to a corporate partner or supplier, we will send it the information needed to respond to your enquiry. Any resulting contract is between you and that partner or supplier.
We send optional Wadi updates only when you have requested them. You can unsubscribe at any time. We may still send essential messages about your account or the Platform.
5. Who receives your information
We may share information with:
- the named sponsor, if you create an account during its sponsored journey;
- the supplier you ask us to introduce;
- service providers that help operate Wadi, including Supabase for database and account services, PostHog for analytics, and OpenRouter and the relevant AI model providers for Ask Wadi processing;
- professional advisers, insurers, regulators, courts or public authorities where reasonably necessary;
- a buyer or successor if Wadi or the Platform is sold, transferred or reorganised; and
- another person where the law requires or permits disclosure.
Service providers may use personal data only for the agreed service or as otherwise permitted by law. The current providers and processing arrangements may change as the Platform develops; this notice will be updated when a change materially affects how we use your information.
6. AI processing
Information you enter into Ask Wadi is sent through OpenRouter to an AI model selected for the relevant request. This processing is used to generate your response and operate and secure the service.
Do not enter sensitive personal data, passwords, payment-card information or confidential third-party information. Wadi does not use Ask Wadi to make decisions about you that produce legal or similarly significant effects.
7. International processing
Core Platform information is intended to be hosted in the European Economic Area. Some service providers or AI model providers may process information in the United States or another country outside the UK and EEA.
Where a restricted transfer occurs, we use a lawful transfer mechanism, such as UK adequacy regulations, the UK International Data Transfer Agreement, or the UK Addendum to approved standard contractual clauses, together with any required risk assessment. Contact us if you would like more information about the safeguards relevant to your information.
8. How long we keep information
We keep personal data only for as long as reasonably necessary for the purpose for which it was collected, including legal, security and dispute-handling requirements.
- Account information and saved activity: while the profile is active and normally for up to 24 months after it becomes inactive, unless you delete it sooner or we need a limited record for legal reasons.
- Unregistered usage and technical data: held anonymously and normally for up to 12 months.
- Analytics information: according to the retention period configured in our analytics service, normally no longer than 12 months in identifiable form.
- Consent and supplier-introduction records: for as long as needed to demonstrate what was agreed or requested, normally up to six years.
- Marketing information: until you unsubscribe or we determine that it is no longer current, with a minimal suppression record retained so we respect your choice.
We may keep genuinely anonymised statistics indefinitely because they can no longer be linked to you.
9. Security
We use appropriate technical and organisational safeguards designed to protect personal data. Access is limited to people and providers that need it for an authorised purpose. No online service is completely secure, so please protect your login details and tell us promptly if you suspect unauthorised access.
10. Your rights
Depending on the circumstances, you may ask us to:
- give you a copy of your personal data;
- correct, delete or restrict the use of it;
- transfer certain information to you or another organisation;
- stop processing based on legitimate interests or for direct marketing; or
- record the withdrawal of consent.
These rights are subject to legal conditions and exceptions. We may ask for information to confirm your identity. You can also complain to the UK Information Commissioner's Office at www.ico.org.uk, although we would appreciate the opportunity to address your concern first.

Platform Cookie Notice
A short guide to cookies used by Wadi
1. What cookies are
Cookies are small files stored on your device when you use an online service. Similar technologies may store or access information for the same purposes.
2. Cookies Wadi uses
Essential cookies are needed to provide the Platform, protect it and keep you signed in. They cannot be switched off through Wadi because core features would not work without them. Session and authentication cookies identify your session, keep you signed in and remember the active business profile.
Analytics cookies: Wadi uses PostHog to understand how people use Platform features and where improvements are needed. PostHog may place an identifier such as ph_wadi_posthog to distinguish visits and maintain analytics session information. Where consent is required, we will not set analytics cookies unless you choose to accept them. If applicable law permits limited statistical use without consent, we will provide the required information and a simple way to object.
3. What Wadi does not currently use
Wadi does not currently use targeting or advertising cookies on the Platform. If this changes, we will update this notice and obtain any consent required before setting them.
4. Managing cookies
You can change your cookie choices through the Platform's cookie settings, where available, or through your browser. Blocking essential cookies may prevent you from signing in or using core features.
5. Current cookie details
Cookie names and durations can change when our technology changes. The Platform's cookie settings should show the current list. You can also request it from support@wadihub.com.
